Welcome to SamiPulse.

These Terms of Service ("Terms") govern your access to and use of the SamiPulse mobile application and related services provided by Nutpha Systems Private Limited ("Nutpha", "SamiPulse", "we", "our", or "us").

By creating an account, accessing, or using SamiPulse, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the application.

1. About SamiPulse

SamiPulse is a location-based social platform that helps users discover what is happening nearby, connect with nearby people, participate in discussions, communicate with businesses, and share local experiences.

The application consists of two primary sections:

• Nearby – Discover nearby stories, announcements, events, and businesses.
• Chats – Join groups, participate in topic-based discussions, follow channels, connect with businesses, and communicate privately with other users.

2. Eligibility

To use SamiPulse, you must:

• Be at least 13 years of age.
• Have the legal capacity to accept these Terms.
• Provide accurate registration information.
• Comply with all applicable laws while using the service.

If you are under the age of majority in your jurisdiction, you should use SamiPulse only with the involvement or permission of a parent or legal guardian where required by law.

3. Your Account

To use certain features of SamiPulse, you must create an account.

You are responsible for:

• Providing accurate and up-to-date information.
• Keeping your account information current.
• Maintaining the confidentiality of your account.
• All activities performed through your account.

Your mobile number is used to create, verify, and secure your account.

You agree not to:

• Create accounts using false identities.
• Impersonate another individual or organization.
• Share your account with others.
• Attempt to gain unauthorized access to another user's account.

We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use SamiPulse responsibly and respectfully.

You must not:

• Violate any applicable law or regulation.
• Harass, threaten, bully, or abuse other users.
• Promote violence or illegal activities.
• Post fraudulent or misleading information.
• Distribute spam or unsolicited promotions.
• Attempt to hack, disrupt, or interfere with the operation of SamiPulse.
• Upload malicious software or harmful code.
• Circumvent security measures or access restrictions.

5. Acceptable Content

You are solely responsible for the content you create, upload, or share.

Content must not include:

• Pornographic or sexually explicit material.
• Child sexual abuse or exploitation material.
• Nudity intended for sexual gratification.
• Hate speech or discriminatory content.
• Graphic violence or gore.
• Content promoting terrorism or extremist organizations.
• Illegal goods or services.
• Content that infringes another person's intellectual property rights.
• False or misleading information intended to deceive others.
• Any content prohibited by applicable law.

We reserve the right to remove content that violates these Terms or applicable laws, with or without prior notice.

6. User Content

SamiPulse allows users to create and share content, including:

• Stories
• Announcements
• Events
• Business profiles
• Business products
• Messages
• Topics
• Channels
• Comments
• Profile information
• Images
• Videos

You retain ownership of the content you create.

By posting content on SamiPulse, you grant Nutpha Systems Private Limited a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute your content solely for the purpose of operating, improving, and providing the SamiPulse services.

You are solely responsible for the content you publish.

7. Groups, Topics, and Channels

SamiPulse allows users to organize and participate in discussions through Groups, Topics, and Channels.

Users are responsible for:

• Respecting group rules established by administrators.
• Keeping discussions relevant to the topic.
• Treating other members respectfully.
• Avoiding spam or repetitive content.

Group administrators and moderators may remove content or members that violate group rules or these Terms.

Nutpha Systems Private Limited may also remove content or restrict access where necessary to protect users, comply with applicable laws, or maintain the integrity of the platform.

8. Business Accounts

Businesses may register business profiles on SamiPulse to:

• Become discoverable by nearby users.
• Showcase products or services.
• Receive direct messages from users.

Businesses are responsible for ensuring that all information they provide is accurate, complete, and lawful.

Businesses must not:

• Misrepresent their identity.
• Publish misleading advertisements.
• Offer illegal products or services.
• Violate consumer protection or advertising laws.

Nutpha Systems Private Limited may suspend or remove business profiles that violate these Terms.

9. Privacy

Your use of SamiPulse is also governed by our Privacy Policy.

The Privacy Policy explains:

• What information we collect.
• How we use your information.
• Your rights regarding your personal data.
• How we protect your information.

By using SamiPulse, you acknowledge that you have read and understood the Privacy Policy.

10. Intellectual Property

SamiPulse, including its software, design, logos, branding, graphics, text, and other original materials, is owned by Nutpha Systems Private Limited or its licensors and is protected by applicable intellectual property laws.

Except where permitted by law, you may not:

• Copy or reproduce the application.
• Modify or reverse engineer the application.
• Distribute or resell the application.
• Remove copyright or trademark notices.
• Create derivative works based on SamiPulse.

Nothing in these Terms transfers ownership of SamiPulse or its intellectual property to users.

11. Service Availability

We strive to keep SamiPulse available and reliable.

However, we do not guarantee that the service will always be:

• Available without interruption.
• Free from errors.
• Completely secure.
• Compatible with every device or network.

We may:

• Modify features.
• Introduce new features.
• Remove existing features.
• Perform maintenance.
• Temporarily suspend the service.

We will make reasonable efforts to minimize disruptions whenever possible.

12. Suspension and Termination

We may suspend, restrict, or terminate access to SamiPulse if you:

• Violate these Terms.
• Engage in unlawful activities.
• Abuse or harass other users.
• Attempt to compromise the security of the platform.
• Use SamiPulse in a manner that may harm the service or its users.

You may stop using SamiPulse at any time.

Termination of your account does not automatically remove content that has already been shared with other users where retention is necessary for legal, security, or operational purposes.

13. Disclaimer of Warranties

SamiPulse is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, Nutpha Systems Private Limited makes no warranties or guarantees regarding:

• The uninterrupted availability of the service.
• The accuracy or completeness of user-generated content.
• The reliability of information shared by users or businesses.
• The suitability of the service for any particular purpose.
• The absence of errors, bugs, or security vulnerabilities.

Users are responsible for evaluating information and exercising their own judgment when interacting with people, businesses, events, or content available through SamiPulse.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Nutpha Systems Private Limited, its directors, employees, affiliates, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• Your use of SamiPulse.
• Your inability to access or use the service.
• User-generated content.
• Interactions with other users or businesses.
• Loss of data, revenue, profits, or goodwill.
• Unauthorized access to your account.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

15. Indemnification

You agree to indemnify and hold harmless Nutpha Systems Private Limited, its directors, employees, affiliates, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your violation of these Terms.
• Your violation of applicable laws.
• Content you create or publish.
• Your misuse of SamiPulse.
• Your infringement of another person's rights.

16. Changes to These Terms

We may update these Terms of Service from time to time.

When significant changes are made, we will update the "Effective Date" shown at the top of this document.

Your continued use of SamiPulse after updated Terms become effective constitutes your acceptance of the revised Terms.

If you do not agree with the updated Terms, you should stop using SamiPulse.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or your use of SamiPulse shall be subject to the jurisdiction of the competent courts located in India.
